Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of AdKinex, a search-term analysis and decision-support platform for Google Ads teams (the "Service"). The Service is operated by Aiyin (Beijing) Network Technology Co., Ltd. ("AdKinex", "we", "us", or "our"), with registered address at Beijing, China. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

In these Terms:

  • "Service" means the AdKinex platform, including the website at adkinex.com, the web application, related APIs, and any documentation we provide.
  • "User", "you", or "your" means the individual or organization using the Service, including the person agreeing to these Terms on behalf of that organization.
  • "Account" means the AdKinex account you create to access the Service.
  • "User Content" means the data you upload, connect, or generate through the Service, including Google Ads reports, custom rules, and account configuration.
  • "Subscription" means a paid plan that grants access to features beyond the free tier, when such plans are made available.

3. Description of Service

AdKinex helps Google Ads teams analyze search-term performance and identify low-value traffic, structural issues, and budget inefficiencies. AdKinex is a decision-support tool: it provides analysis, classifications, scores, and recommendations, but you remain solely responsible for the advertising decisions you make.

4. Account Registration & Beta Access

  • You must provide accurate and complete information when creating an Account.
  • You are responsible for maintaining the confidentiality of your authentication credentials and for all activity under your Account.
  • You must notify us promptly at support@adkinex.com if you believe your Account has been accessed without authorization.
  • AdKinex is currently offered as a private beta to invited users. Access may be limited, controlled, or modified during the beta period.
  • You must be at least 18 years old to create an Account.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law, including data-protection, advertising, and consumer-protection laws.
  • Upload or process data you do not have the legal right to access, or data that infringes the rights of any third party.
  • Use AdKinex in any manner that violates the Google Ads policies, the Google API Services User Data Policy, or the policies of any other advertising platform whose data you connect or upload.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or the underlying infrastructure.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by mandatory law.
  • Use automated systems, bots, or scrapers to access the Service in a manner not expressly authorized by us.
  • Resell, sublicense, or commercially redistribute the Service or its outputs, in whole or in substantial part, without our written consent.

6. Your Content & Data Ownership

You retain all ownership rights to your User Content. You grant AdKinex a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display your User Content solely as needed to provide the Service to you. We do not use your User Content for any other purpose, and we do not sell, share, or transfer it for advertising or for the training of AI/ML models. See our Privacy Policy for full details.

7. Intellectual Property

The Service, including its software, user interface, scoring frameworks (such as AUPF), classifications, documentation, branding, and trademarks, is the intellectual property of Aiyin (Beijing) Network Technology Co., Ltd. and is protected by applicable intellectual property and unfair competition laws. Except for the limited rights expressly granted to you in these Terms, no rights to the Service are transferred. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

8. Service Boundaries (Google Ads Write Actions)

AdKinex is a decision-support tool, not an autonomous campaign-management system. We have intentionally narrowed what AdKinex can do to your connected Google Ads account, both in our software and in our database constraints:

  • The only write action AdKinex can perform on your Google Ads account is the addition of negative keywords at the ad-group level with EXACT match type, after you have explicitly reviewed and approved each recommendation.
  • AdKinex does not pause campaigns, ad groups, or keywords.
  • AdKinex does not adjust bids, bid strategies, or budgets.
  • AdKinex does not create, modify, or delete campaigns, ad groups, ads, or assets.
  • AdKinex does not modify audience targeting, geo targeting, schedules, or any other campaign settings.
  • All accepted write actions are recorded in append-only audit logs that cannot be deleted.

These boundaries are enforced both by application logic and by database-level constraints, and are designed to ensure that AdKinex can never make a change to your Google Ads account that you have not specifically authorized.

9. Subscriptions, Billing & Cancellation

  • AdKinex offers a free tier with limited usage and may offer paid Subscriptions when generally available. Plans, features, and pricing are presented at checkout and may change with reasonable notice.
  • Subscription fees are billed in advance on a recurring basis (monthly or annually) and renew automatically until canceled.
  • You may cancel your Subscription at any time. Until our self-serve cancellation portal is generally available, cancellations are processed via email request to support@adkinex.com.
  • Upon cancellation, your Subscription remains active through the end of the current billing period, after which it will not renew. You will not be billed again unless you choose to subscribe again.
  • We may change pricing or plan structure with reasonable advance notice. Any change will not affect Subscriptions you have already paid for during the current billing period.

10. Refunds

Our refund policy is described in detail on the dedicated Refund Policy page. In summary: first-time monthly subscribers may request a full refund within 14 days of their initial purchase, and first-time annual subscribers may request a full refund within 30 days of their initial purchase. 11. Service Availability

We use commercially reasonable efforts to keep the Service available and reliable, but we do not commit to any specific uptime percentage. The Service may be temporarily unavailable due to maintenance, infrastructure changes, or factors beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

12. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. ADKINEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS OUTPUTS ARE SUITABLE FOR ANY PARTICULAR PURPOSE. ADKINEX IS A DECISION-SUPPORT TOOL AND DOES NOT CONSTITUTE FINANCIAL, ADVERTISING, LEGAL, OR BUSINESS ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADKINEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO ADKINEX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Termination

We may suspend or terminate your access to the Service if you violate these Terms, if your use of the Service creates a security or legal risk, or if your Account is inactive for an extended period. You may terminate your Account at any time by contacting support@adkinex.com. Upon termination, your right to use the Service ceases immediately. We may retain certain information as required by law or as described in our Privacy Policy.

14. Governing Law & Disputes

These Terms are governed by the laws of the People’s Republic of China, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Service shall be submitted to a court of competent jurisdiction in Beijing, China. Nothing in this section limits any non-waivable consumer-protection rights you may have under the laws of your country of residence.

15. Changes to These Terms & Contact

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, notify you by email or through an in-app message before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
